NAME

Article I

The organization shall be known as the Pennsylvania Police Accreditation Coalition (PPAC).

MEMBERSHIP

Article II

Section 1. Regular Membership shall be open to law enforcement agencies, and their designated members/ representatives. Regular Membership shall be granted upon the receipt of a completed membership application and dues.

 

Section 2. Associate Membership shall be open to members of governmental, educational, private or other agencies whose functions affect or are affected by law enforcement agencies or the accreditation process. Associate Membership applications are subject to the approval of the Executive Board upon receipt of a completed Associate Membership application and dues.

 

Section 3. Special Membership shall be granted to members of law enforcement agencies who have retired from law enforcement and who wish to provide PPAC with their expertise and support.

 

PURPOSE

Article III

PPAC recognizes and supports the concept and practice of law enforcement accreditation as a means to enhance the quality of law enforcement services in the Commonwealth of Pennsylvania. PPAC shall serve as a network for member agencies to encourage communication and cooperation, provide mutual support, share member agency directives/regulations, resources and information, and foster the growth of accreditation in the Commonwealth via the conduct of marketing and training activities, and the organizing, staffing and leading of "initial" on-site assessments.

 

ORGANIZATION

Article IV

Section 1. PPAC shall be a non-profit organization, and no salary, wages or benefits shall be paid to any of its officers or members.

 

Section 2. The Executive Board of PPAC shall consist of the offices of President, Vice-President, Secretary and Treasurer. The Officers shall be elected by a majority of votes cast as hereinafter provided. Nominations for Executive Board offices shall be submitted every November. Elections shall be held every December.

 

Section 3. Officers shall serve one-year terms (unless reelected to additional terms). Terms of office shall be from January 1 through December 31.

Section 4. The offices of President and Vice-President shall be held by designated members/representatives of law enforcement agencies. An Associate Member may hold the offices of Treasurer or Secretary.

 

Section 5. An Executive Committee consisting of Officers of PPAC shall be formed and may convene upon the agreement of the majority of Officers of the coalition.

 

Section 6. Members must have attended at least 50% of the coalition's meetings in the 12 months immediately preceding an election to be eligible as a candidate for office.

 

Section 7. Officers who fail to attend at least 50% of the coalition's meetings, or three meetings in a row, in the 12 months immediately preceding an election, may be subject to removal from office by a majority vote of the Executive Board, unless just cause for the absences can be shown.

 

DUTIES OF OFFICERS

Article V

 

Section 1. Duty of Care: All Officers shall owe the highest standard of care to PPAC in their dealings on behalf of the organization and its member agencies.

Section 2. Duties of individual Officers shall be as follows:

President: The President shall be the Executive Officer of PPAC. The President shall preside at all meetings, appoint all committees, ensure minutes of all meetings are kept and distributed to the membership in a timely manner, act as ex-officio of all committees, organize PPAC’s mock on-site assessment teams, and make other assignments and appointments as deemed necessary to achieve the purposes of PPAC. The President shall also ensure that all members are notified in a timely manner of scheduled and/or special meetings, or other events.

 

Vice-President: The Vice-President shall fulfill the duties of the President in the case of the absence or disability of the President, maintain, update and disseminate PPAC’s membership listing, and shall perform such other duties as may be required to achieve the purposes of PPAC.

 

Secretary: The Secretary shall record the minutes of all PPAC meetings and be responsible for notifying members of scheduled and/or special meetings and other events. The Secretary shall provide the minutes of meetings to the President in a timely manner prior to their distribution to the membership. The Secretary shall also fulfill the duties of the Vice-President in the case of the absence or disability of the Vice-President, and shall perform such other duties as may be required to achieve the purposes of PPAC.

 

Treasurer: The Treasurer shall be responsible for maintaining the fund(s) of all monies received by PPAC, presenting an accounting of the fund(s) at each general meeting, and receiving and properly routing membership applications and dues. The Treasurer shall also fulfill the duties of the Secretary in the case of the absence or disability of the Secretary, and shall perform such other duties as may be required to achieve the purposes of PPAC.

Section 3. Vacancies in office shall be filled as follows:

President: The Vice-President shall fill the un-expired term of the President.

Other Offices: The Executive Board shall appoint an appropriate member to fill the unexpired term by the second regular meeting following notification of the vacancy.

 

MEETINGS

Article VI

Section 1. Meetings shall be held monthly. The membership shall be notified in a timely manner of the time, date and location of meetings.

Section 2. Special meetings may be called at the discretion of the President.

DUES

Article VII

Section 1. Annual dues for Regular Membership in PPAC shall be thirty-five ($35.00) dollars. Associate Membership dues shall be twenty-five ($25.00) dollars. Membership dues are payable on or before March 31 of each year.

Section 2. Agencies that have not paid their dues by March 31 of each year shall be considered delinquent and shall forfeit resource, voting and attendance privileges until the dues have been paid.

Section 3. There shall be no dues required of Special Members.

GENERAL EXPENSES

Article VIII

Section 1. The President and Treasurer shall have the authority to expend no more than $500.00 in any calendar year for stamps, envelopes, mass mailings, and other miscellaneous operating expenses. The President and Treasurer must agree that the expenditures are necessary before funds may be expended for this purpose, and shall be required to submit applicable receipts to the Treasurer. The $500.00 limit for operating expenses per calendar year cannot be exceeded without a majority vote of approval by the Executive Board.

Section 2. The expenditure of funds for information brochures, workshops, and other marketing expenses shall require a majority vote of approval by the Executive Board. Members expending funds for marketing expenses shall be required to submit applicable receipts to the Treasurer.

Section 3. A minimum balance of $1000.00 shall be maintained in PPAC's savings account, and cannot be reduced below this level without a majority vote of approval of the Executive Board.

VOTING

Article IX

Section 1. Each law enforcement agency shall be eligible to cast a single vote. Associate Members serving as Treasurer or Secretary shall also be eligible to cast a single vote.

Section 2. The President shall retain the right to call for a roll call and/or written vote.

QUORUM

Article X

A quorum shall exist when two Executive Board officers are in attendance at a meeting.

BYLAW CHANGES

Article XI

Bylaw changes may be proposed by any member at a general meeting, and may be voted on by the membership at the next meeting, provided that timely notice of the proposed change(s) has been provided to the membership. In no event shall bylaw changes be proposed and voted on at the same general meeting, or at any special meeting.

 

CONDUCTING BUSINESS

Article XII

All PPAC meetings shall be conducted in compliance with Roberts Rules of Order when possible/ appropriate.

 

DISSOLUTION

Article XIII

In the event that PPAC is disbanded, all existing funds and assets shall be distributed to a charitable or educational organization, the identity of which shall be determined by a majority vote of the membership at the last general meeting immediately prior to the disbandment.
